These Terms of Service (the “Terms”) govern your access to and use of the PadSpecplatform, websites, and related services (collectively, the “Service”) provided by PadSpec LLC (“PadSpec,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a company or other organization, you represent that you have authority to bind that organization.
1. The Service
PadSpecis a software platform that converts an operator's design intent into a structured facility specification — an equipment list, connection topology, sizing, rule-trace audit, and renderable diagram — using a layered library of engineering rules. The Service is provided as a decision-support tool for qualified engineering professionals.
2. Engineering Disclaimer
Outputs generated by the Service are engineering aids, not a substitute for the independent judgment, review, and stamp of a licensed professional engineer. Facility specifications, equipment selections, sizing, and diagrams produced by the Service must be reviewed, verified, and approved by qualified personnel before being used for construction, procurement, permitting, or operation. You are solely responsible for the accuracy and suitability of any design decision made in reliance on the Service and for compliance with all applicable codes, standards, and regulations. PadSpec does not practice engineering and does not provide engineering, legal, or regulatory advice.
3. Accounts
You must provide accurate account information and keep it current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly of any unauthorized use. Access to organization workspaces and rule overlays may be governed by roles and permissions configured by your organization's administrators.
4. Acceptable Use
You agree not to:
- use the Service in violation of any applicable law or regulation;
- reverse engineer, decompile, or attempt to extract the underlying rule library except to the extent permitted by law;
- access the Service to build a competing product or to benchmark it without our prior written consent;
- upload malicious code, attempt to breach security or tenant isolation, or interfere with the integrity or performance of the Service;
- resell, sublicense, or provide the Service to third parties except as expressly permitted.
5. Customer Data and Ownership
As between the parties, you retain all rights to the data, inputs, and firm-authored rule overlays you submit to the Service (“Customer Data”). You grant PadSpec a limited license to host, process, and use Customer Data solely to provide and improve the Service and as otherwise described in our Privacy Policy. The universal core ruleset, platform software, and all related intellectual property remain the property of PadSpec LLC.
6. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it using at least reasonable care and use it only to perform under these Terms. This obligation does not apply to information that is public through no fault of the receiving party or that is independently developed.
7. Fees
Fees, if applicable to your plan or order, are described in the applicable order form or subscription. Unless stated otherwise, fees are non-refundable and exclusive of taxes.
8. Warranty Disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that any output will be accurate or fit for any particular facility or regulatory context.
9. Limitation of Liability
To the maximum extent permitted by law, PadSpec LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to the Service. Our total aggregate liability for any claim arising out of these Terms will not exceed the amounts you paid to us for the Service in the twelve months preceding the event giving rise to the claim.
10. Indemnification
You will defend and indemnify PadSpec LLC against third-party claims arising from your Customer Data, your use of the Service in violation of these Terms, or any design, construction, or operational decision made in reliance on Service outputs.
11. Term and Termination
These Terms remain in effect while you use the Service. Either party may terminate for material breach that remains uncured after reasonable notice. Upon termination, your right to access the Service ceases; we will make Customer Data available for export for a limited period as described in our data-retention practices.
12. Changes to the Service or Terms
We may update the Service and these Terms from time to time. If we make material changes, we will provide notice through the Service or by other reasonable means. Continued use after changes take effect constitutes acceptance.
13. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The parties consent to the exclusive jurisdiction of the state and federal courts located in Texas.
